Es wird meiner Meinung nach versucht, durch eine ausschließliche Korrespondenz in Englisch den Kunden Fragen, Hinweise und Beschwerden so schwer wie möglich zu machen. Ich spreche und schreibe fließend Englisch, so dass ich meine Mandanten qualifiziert und sachgerecht vertreten kann.

Nach den Bedingungen des Formulares soll ein Gerichtsstand an der Anschrift der Firma vereinbart sein. Nach den weiteren Bedingungen auf der Webseite www.eubusinessregister.com soll sich das anzuwendende Recht nach dem Recht des Staates am Firmensitz richten.

Nach meiner Auffassung bestehen erhebliche Zweifel an der Wirksamkeit dieser Bedingungen.

Frau Teresa Reeves meldet sich über eine hotmail-Adresse per Email bei mir und behauptet, ihre in UK gelistete Firma würde schon seit geraumer Zeit überhaupt keine Geschäfte mehr tätigen. Sie habe daher die Befürchtung, dass im Namen ihrer Firma betrügerische Geschäfte betrieben werden könnten, was in diesem Fall dann als eine verbrecherische Angelegenheit anzusehen wäre.

Da die Gegenseite penetrant auf Englisch schreibt, hier ein Muster-Antwortschreiben als Gedankenanregung und Vorlage für ein Antwortschreiben an die Firma [die Anwälte]:

 

[Please forward the following questions and statements to your client. Please feel free to answer my questions if you find yourself capable of doing so although I request you to show me in this case a written power of attorney by your client, which clearly shows who signed this power of attorney on behalf of your client and why the undersigner is entitled to do so:]

 

1. The reason I am writing to you in English is your apparent lack of language capabilities only and shall not be understood as acceptance of English as language of contract or the Law of England (or the UK, Great Britain or what so ever) as contract law.

 

2. I am writing to your company on behalf of my client [insert clients name or alter sentence], who signed a form on the [insert date] which you are claiming should be understood as an binding agreement chargeable to my client with annual costs of 995 Euros. You furthermore claim that the place of jurisdiction in any dispute arising from this agreement should be the service providers (your) address and you also claim that the agreement shall be governed by the law of the seat of the service provider.

 

3. Herefrom arise a couple of questions which I ask you kindly and for clarity to answer.

 

a. Which is the complete adress for service of your company (the service providers street, appartment, building, zip code, city, county, country) and where is the legal seat of your company?

b. What is the thorough and complete name of your company? Where and under which law is the company registered and what is the registration number?

c. Who is or who are the legal representative(s) of your company?

d. Who are the director and the secretary of your company? Please provide full names and addresses.

e. What do you understand by the term "written notice is recieved by the service provider or the subscriber", specifically explain the term "written notice"? Does this condition also mean that the subscriber shall be entitled to send himself a written notice to effectivly terminate the contract?

f. Why do you think this contract should be dealt with in English?

 

4. Apart from these questions I would like to make some statements on behalf of my client.

a. Until I recieve proper and useful answers to my questions I regard this so called contract as not been agreed upon in English as the contracts language.

b. By using the terms "address" and "seat" of the service provider the contracts terms and conditions don´t clarify wether English or Dutch places of jurisdiction and which law shall apply leaving the validity of these terms and conditions in severe doubts.

c. I also claim on behalf of my client that the expenses for the subscriber were deliberately hidden in a misleading form, which on a quick look seemed to be a subscription for an offical EU Register free of charge. This is evidently because the form is lacking any explanation or description which advantages or benefits a subscriber will recieve in return by this quite costly insertion in the database. So it seems obvious that nobody will sign this contract if aware of the demanded annual price for this insertion.This fact proves that your offer is deliberately targeted at business owners who misinterpret this form as an official database entry free of charge and only for this reason of misconduct sign and return it. Therefore I contest the validity of this agreement and declare the agreement hereby as invalid on behalf of my client.

d. I hereby and further more by way of precaution cancel the order and the contract on behalf of my client with immediate effect and also by way of precaution with effect upon the expiration of the subscription.

 

5. I expect you to sent me a reply and a dispensing notice of your claim until the [insert date].
